			<content:encoded><![CDATA[<p>Maynard, O&#8217;Connor, Smith &amp; Catalinotto partner, Thomas G. Daley, Esq. successfully defended a medical malpractice lawsuit venued in Albany County.  The case, <em>Maloney v Kerner,</em> involved an allegation that the infant plaintiff sustained a brachial plexus injury (Erb&#8217;s Palsy) as a result of a shoulder dystocia condition encountered at the time of birth.  The plaintiff contended that the defendant obstetrician improperly performed maneuvers at the time the shoulder dystocia condition was discovered so as to cause a permanent injury to the infant plaintiff.  The plaintiff produced expert proof that the injury sustained by the infant could only have occurred as a result of the obstetrician improperly placing lateral traction on the head of the child before the shoulder dystocia condition was relieved.   The defendant testified that no lateral traction was placed on the head of the child once the shoulder dystocia condition was diagnosed.  Also, the defendant obstetrician had delivered multiple children in the past with shoulder dystocia conditions, with none of those children sustaining any injuries.  Also on behalf of the defense, a board certified obstetrician testified that the management by the defendant of the shoulder dystocia condition, which is considered a life-threatening obstetrical emergency, was proper and in agreement with all accepted standards of care.  Further, the defense called a pediatric neurologist who testified that the birth injury sustained by the child occurred as a result of maternal propulsive forces.  The trial started on July 19, 2010 and a jury returned a unanimous verdict in favor of the defendant on July 26, 2010.</p>

<h2>Commercial Leases</h2>
<p> As a business owner you will typically require one of two types of rental space: retail or professional.  Unlike leasing an apartment, a commercial lease is often of longer duration, five or ten years.  For such level of commitment, an understanding of typical commercial terms and conditions and what needs to be negotiated before signing a lease contract can be very important, especially where commercial rent can be one of your top expenses. </p>
<h3>Lease Considerations</h3>
<p>Often, the level of negotiating leverage which a commercial tenant has is dependent on the amount of space to be leased.  For example, if less than 1,000 square feet, it is unlikely that the tenant would be able to negotiate much as far as the terms. </p>
<p>The following list is an outline of considerations that a business owner must assess before entering into any lease:</p>
<p>(1)        Does the rent include utilities?  If not, ask for the historical cost.  Does it include janitorial services, trash removal, snow shoveling?  What other expenses might be encountered?  Does landlord supply heat and air conditioning and what hours?</p>
<p>(2)        Is there adequate electric for the tenant&#8217;s needs?  An electrical consultant may be necessary to make that determination.</p>
<p>(3)        Will you be negotiating with a built-in increase in rent?  For example, if you are leasing in a shopping mall, the landlord typically expects you to pay your proportionate share (based on square footage) of any increased operating costs, property taxes and other common expenses.</p>
<p>(4)        Look for the sublet clause in the lease.  A typical commercial lease will require a landlord&#8217;s consent for you to sublet to someone else.  The lease should contain language that the landlord will not unreasonably withhold such consent.</p>
<p>(5)        Will the landlord provide for any &#8220;fit up&#8221;?  This is an allowance to assist you in getting the leased premises to accommodate your business purpose.  With a one year lease perhaps the landlord will agree to clean the carpets or paint the walls.  In a larger commercial lease, the typical allowance is so many dollars per square foot.  Not uncommon presently would be an allowance of $2.00 per square foot.  These will be expenses encountered by the landlord to get the commercial space ready for your business.  In retail space, be sure your lease defines whether or not the landlord intends to remove other improvements already on the premises that are of no value to you.  Sometimes the space will be rented &#8220;as is&#8221;. </p>
<p>(6)        In the retail arena, there is often a percentage of rent to be paid based upon sales over the &#8220;break point&#8221;.  For example, this could be something along the lines of 6% of sales over the break point go to the landlord as rent.  This is an amount that can be negotiated.  Its advantage is that it allows for a lower base rent for a business getting started.  It is something that you want to discuss with your accountant, the pros and cons, before entering into any kind of lease agreement.</p>
<p>(7)        A &#8220;triple net&#8221; lease is where all costs are paid by the tenant: rent, common areas, maintenance, insurance, taxes, utilities and trash removal.  Some shopping centers even charge what is called a promotional fund, the advertising costs of promoting the shopping center, in general, paid for in common by the tenants.</p>
<p>(8)        Another consideration of the retail lease would be landlord allowances for signage.  This must also be considered in light of any local ordinance requirement.</p>
<p>(9)        If you lease space in a shopping center, there may be additional requirements as far as hours of operation, that you must be open certain hours including evening hours for the benefit of shoppers in general.  This can be a substantial factor as far as overhead costs in keeping the shop open.</p>
<p>(10)      Do you want your business to have exclusivity in the building or shopping mall where you will be located?  For example, if you are going to open  suntanning booths, does your lease prevent another tanning salon from opening in the same shopping center?</p>
<p>(11)      If you are leasing professional space, will you need 24 hour access?  How often are the cleaning services and what do they consist of?</p>
<p>(12)      A small business owner should expect that the lease may require a personal guaranty.  The language of the same needs to be carefully reviewed.  Sometimes a landlord will agree to reduce the amount of the security deposit over time. </p>
<p>(13)      What are the terms and conditions of the lease if a casualty occurs?  What are the landlord&#8217;s obligations to make the necessary repairs to the structure?  What types of insurance do you need to protect against any casualties that you might cause?  Does your insurance coverage have loss of business operations/business interruption coverage?</p>
<h3>Professional Space</h3>
<p>Professional space is often categorized Class &#8220;A&#8221;, &#8220;B&#8221;, &#8220;C&#8221;.  Class &#8220;A&#8221; space is brand new or very well maintained space in an excellent location with high class tenants.  Class &#8220;B&#8221; would be in an older, but well maintained, building, perhaps not as good a location as well.  As to costs, you might expect to pay $19.00 to $23.00 per square foot plus utilities plus parking for Class &#8220;A&#8221; space.  Class &#8220;B&#8221; space may rent for $15.00 to $18.00 a square foot.  Class &#8220;C&#8221; space may only be $12.00 per square foot.  In the suburbs, one may expect to pay perhaps $17.00 to $20.00 for Class &#8220;A&#8221; space.  A factor that cannot be overlooked is parking which is very expensive in downtown areas and included in suburbs. </p>
<h3>Brokers/Attorneys</h3>
<p>Tenants often use brokers.  The landlord pays the broker&#8217;s fee of 5% to 6% of the gross rent.  If you do not use a broker, you may be in a position to negotiate some money off the rent because of the savings to the landlord.  One should not lose site of the possibility that many of the above referenced lease terms and conditions are, indeed, negotiable.  A business owner with little familiarity may be well served to hire an attorney to negotiate such terms as the long-term savings will greatly outweigh any attorneys&#8217; fees for the negotiation. </p>

			<content:encoded><![CDATA[<p>Associate Attorney, Lauren L. Hunt, participated in the American Diabetes Association’s Tour de Cure on June 6, 2010. Lauren, who was not a cyclist but is always looking for a new challenge, decided to tackle the &#8220;metric century&#8221; bike ride of 62.5 miles. June 6th dawned dark and stormy and as Lauren and her team pushed off for the metric century ride at 7:30 AM they were met with heavy rain and a decent headwind. Not one to let &#8220;some rain&#8221; deter her after months of training, Lauren completed her ride with her best time yet – 5 hours and 45 minutes. She finished happy to have met the challenge, looking for a towel, and (more importantly) looking forward to next year which will &#8220;hopefully be better weather!&#8221;</p>
<p>Lauren raised more than $1,200 for the Tour de Cure, which is the American Diabetes Association’s annual fundraiser. She rode in honor of James Edward Carter II who fought a valiant battle with diabetes for much of his 24 years before his loving family and friends had to say goodbye to him.</p>

			<content:encoded><![CDATA[<p>Our newest Associate Attorney Lauren L. Hunt was recently profiled in the New York Bar Foundation Newsletter for her work as the Joan L. Ellenbogen Fellow at the Capital District Women’s Bar Association’s The Legal Project in Albany, NY – an organization which provides free representation to the working poor.  Lauren, a native of Buffalo, NY, spent her six month fellowship providing representation to victims of domestic violence in contested and uncontested divorces and a variety of Family Court matters.  While a fellow, Lauren managed a caseload of more than 20 clients, appeared on the record countless times, successfully negotiated multiple settlements, and conducted (and won) her first solo trial.  Lauren calls the experience “rewarding both personally and professionally” and states that “my work as a fellow solidified my commitment to this practice area and to providing zealous, yet compassionate, representation for all of my clients.” </p>
<p>Lauren recently joined the firm’s Family and Matrimonial Law practice area as an Associate Attorney.</p>

			<content:encoded><![CDATA[<p>Maynard, O&#8217;Connor Partner Thomas G. Daley, successfully defended a medical malpractice lawsuit venued in Rensselaer County.  The case, the <em>Estate of Clow v Albany Medical Center Hospital and Albany Medical College</em>, involved an allegation that the decedent was improperly and inadequately treated and monitored for injuries sustained in a motor vehicle accident.  The plaintiff contended that the defendants allowed a condition known as abdominal compartment syndrome to develop which caused the death of Mr. Clow. Expert medical proof was produced for the consideration of the jury that established that when abdominal compartment syndrome did develop, it was immediately detected and treated.  Further, the medical evidence established that the true cause of death was an underlying heart condition which was essentially untreatable.  The trial started on June 1, 2010 and a jury returned a unanimous verdict in favor of the defendants on June 11 after deliberating approximately seven hours.</p>

Catalinotto with the “Daniel Mahoney Memorial Award,” in acknowledgement of his 50 years of service to the legal community.  The award is given annually to an attorney who demonstrates outstanding commitment and service to his clients, the Bar and the legal profession. </p>
<p>In addition, the New York State Senate and Assembly both issued official formal proclamations honoring Michael.  The Senate proclamation, Bill #J5582, reads in part, &#8220;WHEREAS, it is the custom of this Legislative Body to acknowledge outstanding individuals whose professional lives, personal endeavors and community service are an example and inspiration to their colleagues, friends, and family&#8230;.,and WHEREAS, Throughout the entire period of his professional and community service, a period of constructive involvement, Michael Catalinotto has stood constant in dignity, good grace and humor, and has earned the respect and admiration of his colleagues, family and friends; and WHEREAS, Rare indeed is the impressive dedication shown by an individual for the benefit of others which Michael Catalinotto has displayed throughout his life; and WHEREAS, It is the sense of this Legislative Body that when individ uals of such noble aims and accomplishments are brought to our atten tion, they should be recognized by all the citizens of this great Empire State; now, therefore, be it RESOLVED, That this Legislative Body pause in its deliberations to honor Michael Catalinotto upon the occasion of his designation as recip ient of the Daniel Mahoney Memorial Award by the Capital District Trial Lawyers Association.&#8221;</p>

		<description><![CDATA[On May 31st, Rob Rausch, a partner in the firm, participated in the Vermont City Marathon in Burlington, Vermont.  Approximately 3,600 runners participated in the 26.2-mile race, on a scenic and challenging course that wound through downtown Burlington, suburban neighborhoods, and bikepaths alongside Lake Champlain.
Rob completed the marathon in 3:55:58.  This was Rob&#8217;s fourth marathon.

			<content:encoded><![CDATA[<p>The Maynard, O&#8217;Connor team will make its debut appearance at Americade 2010 in Lake George, N.Y. Tuesday, June 8<sup> </sup>to Saturday, June 12 operating a booth at the Americade Expo, located in the Lake George Forum off Main Street in the village.</p>
<p>The purpose of our presence at Americade is two fold.  First and foremost, we will be raising funds for one of our clients, Shane Foss, a 23-year-old man who suffered devastating and permanent injuries during a motorcycle accident in September 2009.  Shane is a remarkable man who is now unable to continue his career as a resident counselor working with the mentally handicapped at Alternative Living Group.  We will raffle off several items donated by local motorcycle dealers and will collect donations to help Shane with his escalating medical and living expenses.</p>
<p>In addition, we will raise money to promote motorcycle awareness through a public radio campaign.  It&#8217;s that time of year… the weather is warming up and motorcycles are everywhere.  Several members of the Maynard, O&#8217;Connor team and their families are motorcycle enthusiasts, and we are asking that automobile operators take a second look while they&#8217;re driving and share the road with their two-wheeled counterparts.  Remember, a second look can save a life.</p>
